These Martignetti Planned Giving Advisors, LLC ("MPGA") Charity Registration: State-by-State Guidelines for Compliance Materials ("Materials"), including any online or electronic accompanying documentation, are subject to the terms and conditions of this End User License Agreement and Disclaimer ("EULA"). By downloading, accessing, installing, copying, or otherwise using the Materials, or any part(s) thereof, you agree to be bound by the terms of the EULA. Limited License: Subject to the terms of this EULA and on condition of your payment of all license fees, we hereby grant you the limited right and license to use the Materials internally at your physical office location and distribute the Materials all solely for the purpose of performing charitable registrations for your employer located at the same physical address, if you are a charity. You may not copy or otherwise share the Materials with different physical office locations that you may have, if you are a charity. If you are a consultant, attorney, accountant, advisor or other similar agent of a charity or charities, you may only use the Materials internally and may not physically or electronically share or distribute the Materials with different physical office locations that you may have, or with your charity clients. You may use the Materials for charity registrations that you perform for multiple clients. Except as expressly provided above, you may not distribute or transmit to any third party or entity, permit electronic download, display or use the Materials for any other purpose. Use of the Materials except as expressly permitted shall result in the immediate termination of this license. Upon the termination or expiration of this EULA, you are to immediately stop use of the Materials and promptly destroy the Materials and all copies thereof.

Much of the Materials comes from third party sources. We are not responsible for the information provided by them or for any inaccuracies of third party information.

The Materials include links to third party websites. You access and use the third party websites at your own risk.

THIS IS NOT LEGAL ADVICE. PRIOR TO MAKING ANY DECISION THAT EFFECTS YOUR LEGAL RIGHTS AND OBLIGATIONS, CONSULT WITH COMPETENT COUNSEL.

LIMITATION OF LIABILITY AND REMEDIES. NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR FOR ANY REASON WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ALL DAMAGES REFERENCED ABOVE AND ALL DIRECT OR GENERAL DAMAGES), THE ENTIRE LIABILITY OF MPGA AND ANY OF ITS SUPPLIERS UNDER ANY PROVISION OF THIS EULA AND YOUR EXCLUSIVE REMEDY FOR ALL OF THE FOREGOING SHALL BE LIMITED TO THE GREATER OF THE AMOUNT ACTUALLY PAID BY YOU FOR THE MATERIALS OR U.S. $5.00. THE FOREGOING LIMITATIONS, EXCLUSIONS AND DISCLAIMERS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE.
